Terms and Conditions of Business
These Terms of Business (“Terms”) govern the relationship between RE Investors Ltd and service clients. By engaging with our services or purchasing our products, you agree to these Terms.
1. Scope of Services
We provide Chartered Surveying services to include but not restricted to sales and purchases of commercial property on behalf of service clients. The details of the specific services may vary from time to time.
2. Payment Terms
• Pricing: All prices for our services are exclusive of VAT and are subject to change without notice.
• Payment Schedule: Payment for services/products is due upon completion or as otherwise specified in the invoice.
• Late Payments: Any unpaid invoices are subject to a late fee of 8 % per annum above BoE base rate, calculated from the due date.
3. Delivery or Performance
• Delivery: We will use commercially reasonable efforts to deliver services on or by the delivery date specified in the agreement, but we are not liable for any delays beyond our control.
• Risk of Loss: Risk of loss or damage to goods passes to you upon delivery.
4. Duration and Termination
• Agreement Duration: The agreement is effective from April 2021 and will continue unless terminated earlier.
• Termination: Either party may terminate this agreement with 3 months written notice. You will remain liable for any outstanding payments for services/products delivered before the termination.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of business. This specifically relates to the collection of and the storage of customer and investor contact information which will remain the property of RE Investors Ltd. This obligation will survive the termination of this agreement.
6. Liability and Disclaimer
• Limitation of Liability: We are not liable for any indirect, consequential, or punitive damages, even if we were advised of the possibility of such damages. Our liability is limited to the total amount paid by you for the specific service in question.
• No Warranty: We make no warranties, either express or implied, regarding the accuracy, completeness, or suitability of the services/products provided.
7. Dispute Resolution
In the event of a dispute, both parties agree to first attempt to resolve the matter through negotiation. If resolution is not possible, the dispute will be settled by arbitration or mediation, governed by the laws of England.
8. Intellectual Property
• Ownership: All intellectual property, including but not limited to copyrights, databases, trademarks, and patents related to our services remain the exclusive property of RE Investors Ltd.
• License: Upon payment, we grant you a limited, non-transferable license to use the products/services as agreed.
9. Governing Law
These Terms will be governed by and construed in accordance with the laws of England without regard to its conflict of law principles.
10. Miscellaneous
• Amendments: These Terms may be amended or modified in writing, and any such amendment will be effective immediately.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
By entering into a business relationship with us and/or allowing us to act on your behalf as agent, you acknowledge that you have read, understood, and agreed to these Terms of Business.
